A Statutory Audit is an audit that is mandatorily required by law. It is conducted by an independent Chartered Accountant whose primary objective is to examine the financial statements and express an opinion on whether they present a true and fair view of the entity's financial position and performance.

Since the auditor is independent of the management, the audit report is primarily intended for shareholders, regulators, lenders, and other external stakeholders. A statutory audit is generally conducted once every financial year.


An Internal Audit, on the other hand, is carried out to assist management in improving the organization's operations. Its objective is not merely to verify financial statements but also to evaluate internal controls, risk management, operational efficiency, and compliance with policies and procedures. Internal audits are performed by the organization's internal audit team or by external professionals appointed by the management.

Zee Entertainment Enterprises Ltd. (ZEEL), one of India's leading media companies, came under regulatory scrutiny after concerns were raised over certain financial transactions involving promoter group entities. The National Financial Reporting Authority (NFRA) investigated the statutory audit conducted for FY 2018–19 and FY 2019–20 to assess whether the auditors had complied with the Standards on Auditing.

Case Summary-
NFRA found that the auditors failed to adequately examine a β‚Ή200 crore fixed deposit with Yes Bank, which was allegedly used to secure loans for promoter-related companies. The auditors also failed to properly investigate unauthorised guarantees, related-party transactions, and the possible diversion of company funds. Instead of independently verifying the transactions, they relied heavily on management explanations and did not obtain sufficient and appropriate audit evidence. NFRA further observed that the auditors should have considered reporting suspected fraud under Section 143(12) of the Companies Act, 2013.
